Legal services framework agreement

Legal services framework agreement for KIC InnoEnergy S.E. Under this framework agreement, KIC InnoEnergy S.E. may call for legal services against pre-agreed rates. Such legal services need to be performed within the pre-agreed timeframe. Legal services may cover notarial services, advisory services, as well as claim assessment and execution.

Q&A:
Q1: Could you confirm that we can consider as Partner category lawyers who are Director or Counsel or Senior Manager with at least 10 years experience?
A1: No. For this Request for Proposals you may only consider persons as a partner that are specifically appointed as partner by your firm and as such have full end-responsibility. The 10-year experience in the relevant field we require for a partner is the minimum number of years. Hence, a partner (appointed as such by your firm) with only 7 years of experience in the relevant field would not meet our standards for example. As another example: he same goes for a senior associate / manager (thus: still reporting to one of your firm’s partners) with 20 years of relevant experience.
Q2: We would also wish to ask you for more information concerning what issues you have faced as regards education which would require legal services?
A2: As for the scope of legal services relating to our educational activities, we refer to the description of these specific services in the Request for Proposals under “3. Scope of work – legal services for EIT InnoEnergy on a call-off basis”, on page 5 thereof. In addition to examples mentioned there, these legal services may see among other things to our offering of online and / or professional educational services, and to the way our MsC programme participants pay or finance their tuition fees.
Q3: As regards notary services, could you confirm in which countries notary services will be required?
A3: Reference is made to the description in the Request for Proposals under “3. Scope of work – legal services for EIT InnoEnergy on a call-off basis”, more specifically the following paragraph on page 6: “Though the vast majority of the legal assistance sought by EIT InnoEnergy requires assessments under Dutch law and / or Belgian law, occasionally assistance might be needed involving the law of other jurisdictions, such as the jurisdictions of the co-locations. Tenderers are therefore asked to demonstrate that they either form part of an international alliance / network with presence at least in the jurisdictions of EIT InnoEnergy’s colocations and / or have offices in these jurisdictions. Selected Suppliers are also asked to demonstrate how invoicing of services rendered by their partners from alliances / networks will be invoiced.”
Q4: Are litigation services required in all 3 countries and does it only concern labour law issues or is it broader?
A4: We refer to our answer on question 4 above for the countries in which legal assistance – including litigation services – may be needed. As for the scope of litigation services, we refer to the description of these specific services on page 5 of the Request for Proposals. As follows from that description litigation services are not limited to labour law issues.
Q5: Are tax advice specialists required in all 3 countries?
A5: We refer to our answer on question 4 above for the countries in which legal assistance – including tax advice – may be needed.
